Adapt Media Agency Terms and Conditions

Website Build 

**1. Introduction**

These Terms and Conditions (“Terms”) govern the website and brand build services provided by Adapt Media Agency (“we”, “us”, “our”) to the client (“you”, “your”). By engaging our services, you agree to be bound by these Terms. Please read them carefully.

**2. Payment and Refunds**

2.1. **Initial Deposit**: Once we commence work, the initial deposit is non-refundable. 

2.2. **Monthly Payments**: Upon the successful processing of each monthly payment, the amount becomes non-refundable for services rendered up to that point.

2.3. **Payment Options**: Clients have the following payment options:

  1. Pay the full amount upfront.
  1. Pay in three (3) monthly installments.
  1. Pay over six (6) months with a small premium. The exact premium amount will be specified in the service agreement.

 

**3. Ownership of Assets**

Until full payment is received by Adapt Media Agency:

3.1. All rights, titles, and interests in and to the design assets, including any intellectual property rights, remain the exclusive property of Adapt Media Agency.

3.2. Upon full payment, ownership of the design assets will be transferred to the client.

**4. Monthly Maintenance**

4.1. Clients have the option to avail of our monthly maintenance service at a charge of $150 per month.

4.2. This service includes website hosting, backups, and unlimited minor edits to the website.

4.3. Major edits or overhauls will incur additional charges, which will be determined at the time of the request.

4.4. There is a six (6) month minimum commitment for the monthly maintenance service.

4.5. Clients wishing to cancel the monthly maintenance service must provide a minimum of thirty (30) days’ notice.

**5. Communication**

5.1. To ensure a smooth and efficient process, clients agree to keep all communications related to the project within the platform monday.com.

**6. Governing Law**

6.1. These Terms shall be governed by and construed in accordance with the laws of the state of North Carolina.

6.2. Any disputes arising out of or in connection with these Terms shall be subject to the exclusive jurisdiction of the courts of North Carolina.

**7. Miscellaneous**

7.1. If any provision of these Terms is found to be invalid or unenforceable, the remaining provisions shall remain in full force and effect.

7.2. These Terms constitute the entire agreement between Adapt Media Agency and the client and supersede any prior understandings or agreements (whether oral or written) regarding the subject matter.

7.3. Adapt Media Agency reserves the right to update or modify these Terms at any time without prior notice.

By proceeding with our services, you acknowledge that you have read, understood, and agree to be bound by these Terms and Conditions.

  1. Financial Terms:
  • Startup Fee: A one-time fee is required to initiate our podcasting services.
  • Monthly Fee: After the startup, a consistent monthly fee will be charged for our continuous services.
  • Cancellation – 30 days minimum notice is require for cancellation of services
  1. Duration of Service:
  • Commitment Period: All clients are obliged to a minimum commitment of 6 months for show production. 
  1. Ownership & Intellectual Property:
  • Show Template Rights: Adapt Media Agency retains full rights to the show template created for our clients. Ownership will be transferred to the client after the 6-month minimum period.
  1. Communication Protocol:
  • Primary Platform: All client communications should be conducted via our production system, monday.com.
  • Pre-Launch Phase: Clients will work on a podcast pre-launch board to assemble all required assets and design the initial 8 episodes with our podcast launch specialist.
  • Production Phase: Following the pre-launch, clients will transition to our senior editors who will oversee the weekly production on our podcast production board.
  • Notification & Tagging: For optimal response and action, clients should ensure they tag their respective teams in all communications within monday.com.
  1. Production Timeline & Guidelines:
  • Show Recording: Before the show’s official launch, clients must have a minimum of 8 episodes recorded. Throughout our partnership, there should always be a lead of at least 6 weeks’ worth of recorded content.
  • Editing Timeline: Our team ensures that we are consistently 6 weeks ahead in terms of editing content for your podcast.
  • Editing Duration: Once a podcast episode is submitted for editing, our team requires a minimum of 4 business days for its completion.
  1. Social Media Protocols:
  • Content Approval: Social media content will be made available for review on monday.com. For content management and posting, we utilize Social Pilot. Clients are required to log into their Social Pilot accounts for content approval. **[CLICK HERE](#)** to access the instructional video for Social Pilot. Approval as per the training video is mandatory for content distribution.
  • Self-Posting and Analytics: Clients can use their Social Pilot account to post additional content or to view social media metrics without incurring any additional charges.
  • Feedback Mechanism: Feedback or modifications to social media content should be done inside Social Pilot according to the provided tutorial.
  • Content Allocation: Unless otherwise agreed upon in a custom contract, each weekly episode will be represented by 3 reels and 2 still image posts on social media platforms.
  • Custom Reels: Requests for custom reels must be communicated to us at the time of episode recording submission and before our team initiates the editing process. In the absence of a custom reel request, our team will determine the most appropriate reels for the content. Any subsequent custom reel requests or additional requests will incur an extra charge.
  • Please allow 72 business hours for adjustments/edits from any feedback on social media or the show edit.  Please be sure not to wait until the last minute to provide adjustments/edits to ensure there is no delay in your show and content being posted. 

By availing of our podcasting services, clients agree to adhere to the terms and conditions as mentioned above. We look forward to ensuring your podcast’s success and achieving mutual growth.
